BETALING
Beatdown ApS accepts payment with the following cards: Visa Dankort, Visa Electron, Mastercard. You can also pay with Mobilepay and ViaBill.

Beatdown ApS encrypts all your card information with the so-called SSL (Secure Socket Layer) protocol. This means that unauthorized persons cannot read your card number or other information during the transaction with PBS.

Payment will only be debited from your account when the item is shipped.

For selected pre-orders, the money is debited at the time of order and not at the time of shipment, as usual. This happens if parts of the order, e.g. a digital code, are delivered immediately. This is highlighted when ordering.

LEVERING
Beatdown ApS provides delivery with Dao, Bring, DHL or UPS - Delivery takes 2-5 days. Packages are always sent as quickly as possible, but holidays, illness, delays etc. can delay some deliveries a little. We always recommend that you order gifts well in advance so that a delay from the post office does not ruin a holiday. We always ship to the parcel shop/box you have chosen, but the shipping company may be forced to deliver to another parcel shop/box if there is no space for your package. The shipping company will notify you when your package can be picked up and how long you have to pick it up - we strongly recommend that you pick up your package quickly so that there is room in the parcel shop/box again.

If your package looks very damaged, we recommend that you refuse receipt. This puts us in a better position to offer a replacement and gives us the opportunity to send you a new one more quickly.

  1. INTRODUCTION AND SELLER IDENTITY
    1.1 These Terms and Conditions (“Terms”) govern all purchases of merchandise (“Merchandise”) made through the online store operated at shop.podimo.com and any related Shopify storefronts (collectively, the “Storefront”).
    1.2 The Storefront is operated by Beatdown ApS, CVR no. 38190091, Norgesvej 11, 8700 Horsens, Denmark (“Beatdown”), in partnership with Podimo ApS, CVR no. 40 44 70 24, Gasværksvej 16, 4th floor, 1656 København V, Denmark (“Podimo”).
    1.3 Beatdown is the contracting seller for all purchases made through the Storefront and is responsible for order fulfilment, shipping, returns, and customer service. Podimo is the owner of the intellectual property and brand associated with the Merchandise.

    1.5 By placing an order through the Storefront, you (“you” or the “Customer”) agree to be bound by these Terms. Please read them carefully before making a purchase. If you do not agree to these Terms, you should not use the Storefront or place any orders.

  2. SCOPE AND ELIGIBILITY
    2.1 These Terms apply to all consumer purchases of Merchandise through the Storefront. They do not apply to any other products or services offered by Podimo (including its podcast streaming services), which are governed by separate terms.
    2.2 The Storefront is available to consumers within the European Union and the European Economic Area (“Territory”). We reserve the right to refuse orders from outside the Territory or to limit the availability of certain products in specific jurisdictions.
    2.3 You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to place an order. If you are under 18, you may only place an order with the consent and involvement of a parent or legal guardian.

  3. MERCHANDISE
    3.1 The Merchandise sold through the Storefront includes, but is not limited to: apparel (t-shirts, hoodies, sweatshirts, beanies, caps, socks, underwear, jackets, and leggings); drinkware and homeware (reusable water bottles, coffee mugs, tumblers, and candles); accessories and lifestyle products (tote bags, backpacks, stickers, phone cases, and patches); office and stationery items (notebooks, planners, pens, and mouse pads); and specialty and fan merchandise (posters, plush toys, and limited-edition collectibles).
    3.2 Merchandise is produced on an on-demand or print-on-demand basis unless otherwise indicated. This means that certain items are manufactured specifically for your order after it is placed.
    3.3 We make reasonable efforts to display the colours, dimensions, and specifications of Merchandise as accurately as possible. However, slight variations may occur due to screen display settings, the print-on-demand production process, or material characteristics. Such variations do not constitute defects.
    3.4 Product availability is subject to change without notice. We reserve the right to discontinue any product at any time.

  4. ORDERING AND CONTRACT FORMATION
    4.1 All product listings on the Storefront constitute an invitation to treat and not a binding offer. Your placement of an order constitutes an offer to purchase the selected Merchandise on these Terms.
    4.2 A binding purchase contract is formed when we send you an order confirmation by email. Please check your order confirmation carefully and notify us promptly if there are any errors.
    4.3 We reserve the right to decline or cancel an order at any time before dispatch if: (a) the Merchandise is unavailable or discontinued; (b) there is an error in the product description or pricing; (c) we are unable to verify your payment; or (d) we reasonably suspect fraud or misuse. If we cancel your order, you will receive a full refund of any amounts paid.
    4.4 It is your responsibility to ensure that the delivery information you provide at checkout is accurate and complete. We are not liable for delays or failed deliveries resulting from incorrect or incomplete information provided by you.

  5. PRICING AND PAYMENT
    5.1 All prices displayed on the Storefront are stated in the applicable local currency and include VAT at the rate applicable to your jurisdiction, unless otherwise stated. Shipping costs are calculated and displayed separately at checkout before you confirm your order.
    5.2 We reserve the right to change prices at any time. Price changes will not affect orders that have already been confirmed.
    5.3 Payment is processed at the time of order through the Storefront’s secure payment infrastructure (powered by Shopify and/or Pensopay). We accept the payment methods displayed at checkout, which may include major credit and debit cards, mobile payment solutions, and other locally supported methods.
    5.4 All payment transactions are encrypted and processed in accordance with applicable payment card industry standards. Beatdown does not store your full payment card details; payment processing is handled by the relevant payment service provider.
    5.5 Any applicable customs duties, import taxes, or additional charges levied by authorities outside Denmark are the Customer’s responsibility and are not included in the listed prices or shipping costs.

  6. DELIVERY AND SHIPPING
    6.1 Merchandise is shipped to the delivery address specified by you at checkout. We deliver within the Territory unless otherwise indicated for specific products.
    6.2 Estimated delivery times are displayed at checkout and/or in the order confirmation. As Merchandise is typically produced on demand, delivery times may be longer than standard e-commerce shipments. Estimated delivery times are indicative and not guaranteed, although we make commercially reasonable efforts to meet them.
    6.3 Risk of loss passes to you upon delivery of the Merchandise. If you have selected a carrier other than one proposed by us (where such option is available), risk passes upon our handover of the Merchandise to the carrier.
    6.4 If delivery fails due to circumstances within your control (e.g., incorrect address, absence at the time of delivery where attendance is required), we may charge you for additional delivery attempts or storage costs at the rate applied by the carrier.
    6.5 If your order has not been delivered within thirty (30) days of the estimated delivery date, please contact us at shop@podimo.com. We will investigate and, if the Merchandise cannot be located, offer you a replacement or full refund at your election.
    6.6 Shipping costs are determined by item weight and destination and are charged to the Customer. The applicable shipping fee will be displayed at checkout prior to order confirmation.

  7. RIGHT OF WITHDRAWAL
    7.1 In accordance with the EU Consumer Rights Directive (Directive 2011/83/EU) and the Danish Consumer Contracts Act (forbrugeraftaleloven), you have the right to withdraw from your purchase within fourteen (14) days without giving any reason (the “Withdrawal Period”). The Withdrawal Period expires fourteen (14) days after the day on which you, or a third party designated by you (other than the carrier), physically receives the Merchandise.
    7.2 To exercise your right of withdrawal, you must inform us of your decision by a clear, unambiguous statement. You may use the model withdrawal form set out in Section 16 of these Terms, but it is not obligatory. You may contact us at: shop@podimo.com.
    7.3 To meet the withdrawal deadline, it is sufficient that you send your communication regarding your exercise of the right of withdrawal before the Withdrawal Period has expired.
    Effects of withdrawal:
    7.4 If you withdraw from the contract, we will reimburse all payments received from you, including the cost of standard delivery (but not any supplementary costs arising if you chose a non-standard delivery method). Reimbursement will be made without undue delay and in any event no later than fourteen (14) days from the day on which we are informed of your decision to withdraw.
    7.5 We may withhold reimbursement until we have received the returned Merchandise or you have supplied evidence of having sent it back, whichever is the earliest.
    7.6 You must send back the Merchandise without undue delay and in any event no later than fourteen (14) days from the day on which you communicate your withdrawal. The deadline is met if you send the Merchandise before the fourteen-day period has expired. You shall bear the direct cost of returning the Merchandise.
    7.7 You are liable for any diminished value of the Merchandise resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the Merchandise. This means you may inspect the Merchandise as you would in a physical shop, but you should not use or wash it beyond what is necessary for this purpose.
    Exceptions to the right of withdrawal:
    7.8 The right of withdrawal does not apply to: (a) goods made to your specifications or clearly personalised (e.g., custom-printed items with your name or personal design choices beyond standard product options); (b) sealed goods which are not suitable for return due to health protection or hygiene reasons and which have been unsealed after delivery (e.g., underwear, where the hygiene seal has been broken); (c) goods which, after delivery, are inseparably mixed with other items.

  8. RETURNS AND REFUNDS (BEYOND WITHDRAWAL)
    8.1 In addition to your statutory right of withdrawal, the following return and refund policies apply:
    Defective or incorrect Merchandise:
    8.2 If you receive Merchandise that is defective, damaged, or materially different from what you ordered, you are entitled to a remedy under the Danish Sale of Goods Act (købeloven) and applicable EU consumer law. You may, at your election, request a replacement or a full refund (including any return shipping costs). Please contact us at shop@podimo.com within a reasonable time of discovering the defect, and in any event within two (2) years of delivery for manufacturing defects (or the applicable statutory warranty period in your jurisdiction, if longer).
    8.3 For defective Merchandise, we will bear the cost of return shipping. Defect-related return costs will not be deducted from any refund.
    Non-defective returns outside the Withdrawal Period:
    8.4 Returns of non-defective Merchandise outside the fourteen-day Withdrawal Period are accepted only at our discretion. If we agree to accept such a return, we may apply a restocking fee and/or require the Customer to bear the return shipping costs. Any such discretionary return must be agreed in advance by contacting shop@podimo.com.
    8.5 All returned Merchandise must be in its original condition, unused, unwashed, and with all original tags and packaging intact (except to the extent necessary for you to have inspected the goods).
    8.6 Refunds will be processed using the same payment method used for the original purchase, unless you expressly agree otherwise. We aim to process refunds within fourteen (14) days of receiving the returned Merchandise or evidence of its dispatch, whichever is earlier.

  9. CONFORMITY AND STATUTORY GUARANTEES
    9.1 Under the Danish Sale of Goods Act and the EU Sale of Goods Directive (Directive 2019/771), Merchandise must conform to the contract at the time of delivery. You have the benefit of a statutory guarantee of conformity for a minimum period of two (2) years from delivery (or such longer period as applicable in your jurisdiction).
    9.2 If the Merchandise does not conform to the contract (for example, due to a manufacturing defect, deviation from the product description, or unsuitability for its normal purpose), you are entitled to seek: (a) repair or replacement of the goods; and, if repair or replacement is not possible or disproportionate, or is not carried out within a reasonable time: (b) a proportionate reduction in the price; or (c) rescission of the contract and a full refund.
    9.3 A defect that becomes apparent within one (1) year of delivery is presumed to have existed at the time of delivery, unless this is incompatible with the nature of the goods or the defect. After one year, the burden of proof shifts to the Customer, in accordance with applicable law.

  10. INTELLECTUAL PROPERTY
    10.1 All designs, logos, trademarks, artwork, brand elements, and other intellectual property displayed on the Storefront or incorporated into the Merchandise are the exclusive property of Podimo, its licensors, or the relevant podcast creators (“Creators”). Nothing in these Terms grants you any licence or right to use such intellectual property beyond the personal use of Merchandise purchased.
    10.2 You may not reproduce, distribute, publicly display, modify, create derivative works from, or commercially exploit any intellectual property associated with the Merchandise or the Storefront without the prior written consent of Podimo.
    10.3 The content of the Storefront, including text, images, graphics, and layout, is protected by copyright and other intellectual property laws. Unauthorised use may result in legal action.

  11. LIMITATION OF LIABILITY
    11.1 Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability under mandatory consumer protection legislation that cannot be excluded or limited by law; or (d) any other liability that cannot be excluded or limited under applicable law.
    11.2 Subject to Clause 11.1, our total aggregate liability to you in connection with any order shall not exceed the total amount paid by you for that order.
    11.3 Subject to Clause 11.1, we shall not be liable for any indirect, incidental, consequential, or special losses or damages, including loss of profit, loss of data, or loss of opportunity, howsoever arising.
    11.4 We are not liable for any delay, failure, or interruption in the availability of the Storefront or the delivery of Merchandise caused by events beyond our reasonable control, including but not limited to: natural disasters, epidemics, war, terrorism, strikes, government actions, failures of third-party suppliers or carriers, power outages, or internet disruptions (“Force Majeure”). If a Force Majeure event continues for more than thirty (30) days, either party may cancel the affected order with a full refund issued to the Customer.

  12. PRIVACY AND DATA PROTECTION
    12.1 We take your privacy seriously. When you use the Storefront and place an order, we collect and process personal data including your name, email address, phone number, shipping address, order information, and payment details. This data is necessary for the performance of the purchase contract and for our legitimate interests in operating the Storefront.
    12.2 Podimo is the data controller for personal data collected through the Storefront. Beatdown processes personal data on behalf of Podimo as a data processor, in accordance with the General Data Protection Regulation (EU) 2016/679 (“GDPR”) and applicable national data protection legislation.
    12.3 For full details on how your personal data is collected, used, stored, and protected, including your rights as a data subject (right of access, rectification, erasure, portability, restriction, and objection), please refer to our Privacy Policy, which is available on the Storefront.
    12.4 We use cookies and similar technologies on the Storefront. For information about the types of cookies used and how to manage your cookie preferences, please refer to our Cookie Policy available on the Storefront.
    12.5 We will not transfer your personal data outside the European Economic Area without appropriate safeguards in accordance with the GDPR.

  13. USE OF THE STOREFRONT
    13.1 The Storefront is provided on an “as is” and “as available” basis. We do not guarantee that the Storefront will be uninterrupted, error-free, or free from viruses or other harmful components.
    13.2 You agree not to: (a) use the Storefront for any unlawful purpose; (b) attempt to gain unauthorised access to any part of the Storefront or its underlying systems; (c) use any automated tools (bots, scrapers, or similar) to access the Storefront; (d) place fraudulent orders or provide false information; or (e) engage in any conduct that could damage, disable, or impair the Storefront.
    13.3 We reserve the right to suspend or terminate your access to the Storefront at any time if we reasonably suspect a violation of these Terms or any applicable law.

  14. COMPLAINTS AND DISPUTE RESOLUTION
    14.1 If you have a complaint about your order or the Storefront, please contact us at shop@podimo.com. We will acknowledge your complaint within a reasonable timeframe and work to resolve it promptly and professionally.
    14.2 If we are unable to resolve your complaint to your satisfaction, you may submit a complaint to the Danish Consumer Complaints Board (Nævnenes Hus), NævnenesHus.dk, Carl Jacobsens Vej 35, 2500 Valby, Denmark. You may also use the European Commission’s Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/.
    14.3 These Terms do not affect your statutory rights as a consumer under applicable mandatory consumer protection legislation.

  15. GENERAL PROVISIONS
    15.1 These Terms are governed by and construed in accordance with Danish law, without regard to its conflict of law principles. This does not deprive you of the protection afforded by provisions that cannot be derogated from by agreement in the country in which you have your habitual residence (in accordance with Article 6(2) of Regulation (EC) No 593/2008 — Rome I).
    15.2 Any dispute arising out of or in connection with these Terms that cannot be resolved amicably or through the complaints procedure in Clause 14 shall be subject to the exclusive jurisdiction of the courts of Denmark, without prejudice to your right to bring proceedings in the courts of your Member State of domicile in accordance with applicable EU consumer law.
    15.3 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that achieves a substantially similar commercial effect.
    15.4 Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
    15.5 We reserve the right to amend these Terms at any time. The amended Terms will be published on the Storefront with the updated date. Your continued use of the Storefront after the publication of amended Terms constitutes your acceptance of the changes. Changes will not apply retroactively to orders already confirmed.
    15.6 These Terms are available in the language(s) displayed on the Storefront. In the event of any inconsistency between language versions, the Danish language version shall prevail to the extent permitted by applicable law.
